I think it’s a LOT easier to understand than that:
1: He offered a fixed-price premium and it was accepted
2: The market value has fallen considerably and he wants out
3: But the terms prevent him from backing out unless there are “material differences” between Twitters representation of themselves and the facts
4: He’s trying to inflate that “approximately 5% spammers” into a “material differene”
5: Most folks who know about such things think he won’t be able to back out without significant penalties.
6: And I have NO prognostication about which way he’ll jump when it becomes clear that he must buy or pay a penalty.
So what?
Is that Musks mouth or one of Space X’s rockets.
