    I assume the stockholders and employees make up the frenzied mob. Also assuming, of course, that Kierke-Guard does not become a wildly popular product.

    The university my wife works for has the corporate problem. The president is still in charge because the faculty demanded a vote of no confidence. The administration agreed, but made the vote on a Monday, only allowed the votes to be cast between 10am to 2pm, and only on one campus (out of five, spread out across the state). The result: not enough votes were cast.

    These days the corporate leadership have been ignoring what their boards say.

    The more common problem is that boards aren’t independent of the corporate officers. Either they never disagree with the officers or the CEO is actually on the board (e.g. Motorola).
